The Terms and Conditions (“Terms”) are for Members of SHIFFT Private Member Association (“Association” “us”, “we”, or “our”) and relate to Members’ use of or access to the https://shifft.org website (the “Website”) operated by the Association. “The Member”, “you” and “your”, “he/she”, “him/herself” are synonymous as referring to the applicant.
1. The Association exists in the Private Domain.
2. The Member is a man (male) or woman (female) as described in the Bible, Genesis 1:27 – “And God created man in His own image, in the image of God He created him; male and female He created them.”
3. The Member is eighteen (18) years of age or older.
4. The Member will abide by the Guiding Principles in addition to these Terms.
5. Adherence to the Terms is required to maintain Membership. Use of the Website indicates the Member’s acknowledgement of and adherence to these Terms. If the Member disagrees with any part of the Terms, he/she is free to not become a Member.
Website
6. Opening an account in the Website is the Member’s voluntary choice.
7. The Member, in the signup process, must provide the requested information accurately, completely, and all such information must be current such that the Association has a knowledge of who its Members truly are. Failure to do so constitutes a breach of the Terms.
8. Once the application is approved the Member becomes a Member of the Association and will then have access to the Website.
9. The Website is for Members only.
10. The Member is responsible for safeguarding the password he/she creates to access the Website, as well as safeguarding information he/she inputs to the Website by virtue of the manner in which he/she inputs it.
11. The Member will not disclose his/her password to any third party, Members or non-Members alike.
12. The Member must notify the Association immediately upon becoming aware of any breach of security or unauthorized use of his/her password or Member account.
Privacy
13. The Association and each Member has a very high expectation of privacy concerning information provided by Members, information received from Members and information provided to Members within the Association and the Website.
14. The Association, by virtue of being a private member association, will hold information about its Members in accordance with this very high expectation of privacy. Therefore, all such information will not be disclosed to any third party under any circumstances.
15. The Member acknowledges and adheres to this very high expectation of privacy including but not limited to the sharing, reproducing or disclosing any confidential Member or Project information to Members or non-members alike.
Projects
16. The Member will have access to Projects made available to all Members.
Restrictions
17. The Member will not post inappropriate, inaccurate or offensive content to membership forums and discussions but will govern him/herself according to the Guiding Principles.
18. The Member, when engaging in Projects, will keep in mind that the Association’s activities are in the Private Domain.
19. The Member shall not be an agent, employee, worker, contractor, officer, director representative, person of a body politic, or a representative of anyone or entity bound to another jurisdiction.
Intellectual Property
20. The Website and its original content, features and functionality are and will remain the exclusive property of the Association.
Links To Other Web Sites
21. The Website may contain links to third-party websites or services which are not owned or controlled by the Association. Accessing any third-party websites or services is a voluntary choice of the Member.
22. Once the Member enters a third-party website or service he/she has in every way stepped outside the domain of the Association.
23. The Association has no control over and assumes no responsibility for the content, privacy policies, or practices of third-party websites or services.
24. The Member acknowledges and agrees that the Association will not be held responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the Member’s voluntary use of, access to or reliance on any content, goods or services available on or through any third-party websites or services.This includes third-party services used to build the Website, which services the Association has taken great pains to qualify. Nevertheless, the security of these third-party services are outside the control of the Association.
25. It is the Member’s responsibility to read the terms and conditions and privacy policies of any third-party websites or services which the Member accesses.
Termination
26. Breaching the Terms may result in immediate termination of the Member’s Membership.
27. The Association may Terminate or suspend the Member’s account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if he/she breaches the Terms.
28. Non-payment of Member Dues will result in suspension of the Member’s Membership and suspension of access to the Website until Member Dues are paid in full.
29. Upon Termination for whatever reason, the Member’s right to use the Website will immediately cease.
30. If the Member wishes to Terminate his/her Membership in the middle of a Membership year (determined by the date of the payment of Membership Dues), written notice must be provided to the Association.
31. All provisions of the Terms which by their nature should survive Termination shall survive Termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.
Governing Law
32. These Terms shall be governed and construed in accordance with Natural Law.
33. The Association’s failure to enforce any authority, right or provision of these Terms will not be considered a waiver of said authority, right or provision.
34. If any provision of these Terms is held to be invalid or unenforceable by the Founders and/or Advisory Group, the remaining provisions of these Terms will remain in effect.
35. These Terms constitute the entire agreement between us regarding our Website, and supersede and replace any prior agreements we might have between us regarding the Website.
36. The Definitions of all words, terms and phrases herein or elsewhere in the purview of the Association are at the discretion of the Founders of the Association.
Dispute Resolution Between Members
37. The Member resolves to never take a dispute outside the Association but, in accordance with the Guiding Principles, seek resolution between him/herself and the other Member(s).
38. The Member resolves to bring any dispute to a peaceful resolution by being mindful of the Guiding Principles and using peaceful communication principles.
39. If the dispute does not involve a claim of harm requiring a remedy, the Members involved in the dispute are expected to freely but privately discuss between themselves the disagreement and come to a harmonious and mutual agreement as to a resolution. Should advice and counsel be required, input from the Founders and/or Advisory Group should be requested.
40. If the members are experiencing difficulty coming to a peaceful agreement between themselves, they may seek assistance from the Founders and/or Advisory Group to facilitate a meeting to come to a resolution.
41. If one of the members identifies the situation as causing them harm, they are to bring forward evidence to substantiate their claim and seek remedy for a proven harm. The remedy may be agreed to between the members. Should remedy not be achieved, both members can bring the claim before a Member tribunal established by the Founders and/or Advisory Group to present their claim and abide by decisions arrived at the tribunal regarding evidential proof of claim and a remedy.
42. If the dispute is substantial enough to require assistance from outside the Association, the Founders and/or Advisory Group will choose a Intermediary to address the matter.
Changes
43. The Association reserves the right, at the discretion of the Founders and/or Advisory Group, to modify or replace any of the Terms herein at any time. Any material change to these Terms will be completed with the Guiding Principles in mind.
44. By continuing to use the Website after revision of the Terms become effective, the Member agrees to be bound by the revised terms. If the Member does not agree to the new terms, the Member should cease use of the Website. If the Member does not cease use of the Website he/she is deemed to have acknowledged and agreed to the revisions of the Terms.
Disclaimer
45. Your use of the Website is at your sole risk. The Website is provided on an “AS IS” and “AS AVAILABLE” basis. The Website is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.
Signatures
46. The Member’s Signature on any Association document, if not an Autographic Signature, i.e., signed with ink-pen onto paper by the Member’s own hand, is given as if it is an Autographic Signature.
